What is a Managed Service Company (MSC) Provider?

 

The new legislation introduced in the 2007 budget known as the “MSC Rules” defines an “MSC Provider” as “a person who carries on a business of promoting or facilitating the use of companies to provide the services of individuals.”

 

The rules then say that a person will not fall within the above definition of an MSC Provider if all they are doing is providing legal or accountancy services in a professional capacity. This is basically exempts firms of accountants from being MSC Providers – unless a separately discernable part of their business carries on the business of an MSC Provider.

 

What is an MSC?

 

A company will be an MSC if [1] its business consists wholly or mainly of providing the services of an individual to others; and [2] the greater part or all of the companies profit is paid to the individual; and [3] the individual is paid in such a way (e.g. dividends) that results in payment of an amount exceeding that which would be paid to the individual if he/she received the income as employment income; and [4] an MSC Provider is “involved” with the company.

 

When is an MSC Provider “involved”?

 

An MSC Provider will be involved with a company if it or any of its associates:

 

[a] Benefits financially on an ongoing basis from the provision of the services of the individual; or

 

[b] Influences or controls the provision of those services; or

 

[c] Influences or controls the way in which payments are made to the individual; or

 

[d] Influences or controls the company’s finances or any of its activities; or

 

[e] Gives or promotes an undertaking to make good any tax loss.

 

What is the impact of a company being an MSC?

 

If a company falls within the definition of an MSC it must ensure that the full amount of tax and NI that would have been due to HMRC if the individual had been paid under PAYE is paid to HMRC. If it is not and HMRC are unable to recover the tax and NI from the company, the legislation contains “Debt Transfer Provisions” allowing the Crown to pursue the directors of the company, the MSC Provider, the directors of the MSC provider, and the agency (if one is involved) for the outstanding tax and NI.
